Service terms
These are the terms for a website built and looked after by omotesite. There is no separate contract to sign: you agree to them by ticking the box on the payment page and paying. The agreement is between the business named on that payment page ("you") and omotesite, operated by Daiki Kira, 2-18-5-202 Shinchiba, Chuo-ku, Chiba 260-0031, Japan ("I").
In short
- You pay only the amounts shown on your payment pages. Nothing else is charged.
- Nothing goes live until you approve it.
- The site and the domain are yours. If you leave, I hand over the files and transfer the domain at no charge.
- On the Hosted and Managed plans there is no minimum term. Cancel with 30 days' notice.
- The Monthly plan (no setup fee) has a six-month minimum, described below.
1. What I build
A one- to three-page website for your business, including: light copywriting drafted from your menu, bio and social posts, which you review; a mobile-first layout built with basic accessibility practices; a contact form, tap-to-call, map link and a link to your existing booking tool; a privacy page; social sharing image, favicon and 404 page; domain registration and setup; one preview and two rounds of revisions before launch.
Not included: booking, e-commerce, membership or blog systems; photography, logo design or long-form writing; any guarantee of search rankings, traffic or revenue; advertising management; four or more pages, multi-location or careers pages; fees for third-party services you subscribe to.
2. How it goes
I show you a free draft built from your public information. When you go ahead, you send your photos, logo and change requests. I deliver a preview within three business days of receiving them. After you approve the preview, I launch the site. Delays caused by late materials or approvals are not my responsibility.
3. Monthly care
Hosted, $49 per month. Hosting, SSL and domain renewal; one minor text edit per month; updates (menu, photos, promotions) at $75 each; Google Business Profile set up at launch; replies within three business days.
Managed, $95 per month. Hosting, SSL and domain renewal; minor text edits included; up to two updates per month; Google Business Profile kept in sync; a monthly report; replies within one business day.
You can change plans with 30 days' notice; the change takes effect the following month.
4. Fees and payment
The setup fee is the amount shown on your payment pages and is normally paid in two parts: a deposit when you go ahead, and the balance after you approve the final preview in writing and before the site goes live. The deposit is non-refundable once I begin working with your materials. If you stop before launch, the balance is not due.
The monthly fee is billed to your card through Stripe from the day you start the monthly plan on its payment page, normally the launch date.
I am located outside the United States; a Form W-8BEN is available on request.
5. Monthly plan (no setup fee)
On the Monthly plan no setup fee is due. You pay $250 per month for the first six months and $95 per month after that, and you receive the Managed service level from the first month. Billing starts when you start the plan on its payment page, and I begin work then.
This plan has a minimum term of six months. You may end it earlier by paying the remaining months of that term in a single payment. Ownership of the site and the domain passes to you on receipt of the sixth monthly payment, or of the payment that ends the term early. Until then the site remains mine to publish or withdraw: if payment stops before the sixth month, I may take the site offline and am not obliged to deliver the files or transfer the domain. From month seven the plan continues month to month and either of us may cancel under section 7.
6. Your materials, the domain and ownership
You confirm that you own or have permission to use the photos, logos and text you send me. Any photo showing a person must come from you.
I register and renew the domain on your behalf; the fee is included in the monthly plan. The domain belongs to you. I register it with your name and contact details as registrant where the registrar allows, and will not alter or dispose of it without your instruction.
When the balance is paid (or, on the Monthly plan, when the six-month term is complete), I assign to you all transferable copyright in the custom code, design and text created specifically for you. This excludes third-party and open-source components, fonts, stock or generated imagery and other licensed materials, and template code I reuse across clients, which you may keep using in the site under a perpetual, royalty-free license. Generated or stock imagery I supply is licensed for use on the site only, and I do not warrant exclusive rights in it. I show your site as portfolio work only with your permission.
7. Cancelling
The agreement runs from the day you go ahead until either of us cancels with 30 days' written notice (email is fine). There is no minimum term and no cancellation fee, except the six-month minimum of the Monthly plan.
When it ends, I deliver the complete site files (HTML, CSS, images, configuration) and transfer the domain to a registrar of your choice at no charge, providing the authorization code and helping with the process. Because registrars block transfers within 60 days of registration, I keep hosting at no charge until the transfer is possible. Hosting ends 30 days after the cancellation date.
If two monthly payments in a row fail, I may pause care and, with 30 days' notice, end hosting.
8. Limits
I maintain the site with reasonable care but do not guarantee uptime, rankings, traffic or sales, and I am not liable for outages or changes at hosting, domain, booking or other third-party services. My total liability is limited to the monthly fees you paid in the three months before the claim.
9. Confidentiality
Each of us keeps the other's non-public information and personal data confidential and uses it only for this agreement, during the agreement and for one year after it ends. See also the privacy page.
10. Billing questions
If a charge looks wrong, email me before disputing it with your card issuer and I will sort it out. I keep the payment record, these terms as accepted, the draft and revision history and your written approval as the record of delivery.
11. General
These terms, together with the amounts on your payment pages, are the whole agreement between us and can be changed only in writing. If I update this page, the version you accepted continues to apply to you unless you agree to the new one. The agreement is governed by the laws of Japan. We will try to resolve any dispute by good-faith discussion first; failing that, the Tokyo District Court has exclusive jurisdiction.
